• LOSS OF PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES;
• LOSS OF DATA OR INFORMATION;
• PERSONAL INJURY OR PROPERTY DAMAGE NOT CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT;

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ANY CASE, CHUY'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CHUY'S IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless Chuy's, its owners, officers, directors, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your infringement or misappropriation of any intellectual property or other rights of any third party;

10. Dispute Resolution

10.1 Informal Resolution

Both parties agree to make a good faith effort to resolve the dispute informally within thirty (30) days of receiving the written notice. If the dispute is not resolved within this period, either party may proceed to formal dispute resolution as described below.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

If the dispute cannot be resolved through informal negotiation, you and Chuy's agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our services (including questions about the validity, scope, or enforceability of this arbitration provision) shall be resolved exclusively through binding arbitration, rather than in court, except as provided below.

Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed upon by the parties, and shall take place in the state where Chuy's principal place of business is located, or at another location mutually agreed upon. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND CHUY'S AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent imminent harm that cannot be adequately remedied through arbitration.

10.5 Arbitration Costs

The costs of arbitration, including filing fees and arbitrator compensation, shall be allocated in accordance with the rules of the applicable arbitration organization. Each party shall bear its own attorneys' fees unless the arbitrator determines that an award of attorneys' fees is warranted under applicable law.

11.2 Termination by You
